Terms of business for linguists

Please read these terms and conditions carefully, these are applicable for all Orders carried out for us.

    DEFINITIONS. 'The Provider' means EXPERTRANSLATORS LTD (company registered in England and Wales. Reg. office: 31A Crawford Place, L o n d o n  W1H 4LL, (trading as certified uk transl) its employees and legal representatives.

    The 'Language Contractor' means the linguist or interpreter, whether an individual or corporate entity.

    'Contract' means the Contract between the Language Contractor and the Provider, constituted by these terms & conditions.

    'Translated document' means any written source document provided by the 'Provider' to the 'Language Contractor' to be translated, edited, proofread, rewritten, abstracted, adapted, revised, localized, project managed, typed, transcribed and subtitled.

    'Interpreting' means any oral assignment commissioned by the 'Provider' to the 'Language Contractor' for simultaneous or non-simultaneous interpreting.

    'Order' means the Purchase Order signed/accepted by any written confirmation (email, letter, fax) by the Language Contractor being instructed to perform the Order(s) which form part of this Contract.

    ABILITIES

    THE PROVIDER aims to establish a long-term, mutually beneficial relationship with its linguists and interpreters (language contractors). The language contractors must only accept Orders which they consider to be within their professional abilities.

    CONFIDENTIALITY

    The language provider undertakes not to accept the Order directly from THE PROVIDER clients without a prior written Purchase Order from THE PROVIDER. All material sent by THE PROVIDER including, original documents, translated material, glossaries, Word templates and memories are strictly confidential. You are bound by a Confidentiality Agreement to ensure privacy of the work undertaken and that you undertake not to disclose any information of any nature whatsoever, concerning The Provider, its Clients, the transl/interpreting assignment undertaken, which have been obtained during the provision of the Language Provider Order and in future without time limitation, to any third party.

     PURCHASE ORDER

    Language Contractors must not start any job without an official numbered purchase order.

    This numbered purchase order specifies where to find the terms of the work clearly. You must confirm the receipt of this purchase order to THE PROVIDER before the start of any project. The number of this purchase order is therefore unique and serves as a reference for all official correspondence.

    QUALITY CONTROL
   
   We expect all our new contracted linguists to undergo a test before the commencement of any subcontracted work. This test should consist of no more than 500 words. Upon successful and satisfactory submission and approval of this test, new linguists may or may not be offered work.

    We expect a good standard of work. If the job does not meet the required standards, THE PROVIDER will use another linguist/interpreter to revise/redo the job, the cost incurred will be deducted from the linguist fees.

    All translated documents / revisions must be subject to the following quality control measures (if applicable):

    - Please notify us if you notice any missing pages/text from original.

    - Please be aware that any translated text already on the document or any other translated resource found on the internet could be machine translated and terminology unreliable.

    - Retain rough layout/format (bold, italics, underlines)

    - All stamps to be translated from the original document (if text is illegible, insert [illegible] where appropriate)

    - Second Proofread

    - Spell check

    - Double check all numbers, formulae, tables, dates, emails, addresses.

    - Count number of paragraphs / lines / bullet points to match original documents (3 out of 10 translated documents have at least one line or paragraph missing).

    - Check indentations, paragraph numbering

    - Please write any notes in both the source and target languages (unless the target language is English)

    - MS Word Track Changes Off (for translated documents), Track Changes On (for revisions).

    DEADLINE

    If the deadline (date, time) for submitting translated documents specified in our purchase order is not met, we will consider the purchase order null and void. In such an event we are discharged from any obligation towards you and more particularly any total or partial financial obligation, unless THE PROVIDER is informed beforehand of any delays and agrees in writing (such as email) of such delay.

    CANCELLATION

    In the event of cancellation of an order by our client, THE PROVIDER will compensate you for the work supplied up until the cancellation.

    CONTACT

    If you are in any doubt about your capability to carry out the job of if you have any query relating to the job, please contact us immediately. If the material which has been sent to you has inaccuracies, ambiguities, please let us know, or if the text is illegible just write [illegible]. The translated document will be sent to client for final check and may be sent back to you so that all ambiguities can be finalized.

    GENERAL PROVISIONS

    By accepting to undertake an Order for THE PROVIDER, you are bound by the terms & conditions in this document. Please ensure that you have read those terms carefully and acknowledge by replying receipt and acceptance of the PO.

    PAYMENT

    Please include our PO# and document title on your invoice. Also include your bank / Paypal details for electronic transfer. The payment terms are, unless otherwise agreed, 30 days from your invoice date.

    COMPLAINTS AND DISPUTES

    Should you have a complaint, please contact THE PROVIDER first and we will do our utmost to resolve it.

    In the case of an unresolved dispute in respect of quality, accuracy or payment, the adjudication of a court of law in England and Wales shall be used whose decision shall be binding and final. Any costs arising from the adjudication process will be borne by the party which court decision favoured against. In case of a Contract exists in the English as well as another language, the interpretation of the English language Contract shall be binding.

    MODIFICATIONS

    Changes to the Terms&Conditions. From time to time, we reserve the right to make changes to this Contract. 

    Governing Law.

    This Contract shall be governed by the laws of England and Wales.
